Strategy & Roadmap ~14 days

We have to know where you are before we know what to do. First, we perform a diagnostic of your overall digital health. Next, we use what we find to create a roadmap for technical SEO and content that will have the highest impact on your rankings and traffic as quickly as possible. Our diagnostic examines these factors in your digital health:

Google Business Profile: Identify and recommend potential optimization opportunities like enhanced business descriptions, FAQs, photos, reviews and more.
Content: Look at all web pages to identify content opportunities and align on a content strategy that drive more traffic
Technical SEO: Identify and recommend solutions for critical Technical SEO gaps like Meta Descriptions, Schema, Interlinking, Rendering, and more.
Conversion: Identify and recommend solutions to optimize your website’s UX to maximize for conversions like click-throughs to the menu, checkouts, loyalty sign-ups, and more.

Our teams uses the data collected in these 6 areas that comprise your digital health to build your custom Strategy & Roadmap to ranking. This Roadmap belongs to you. You may elect to have deeproots execute it on your behalf, use a third-party provider, or execute it yourself.

*In the event you do not elect to engage deeproots to execute the Strategy & Roadmap, deeproots shall not be liable for any damages, whether real, incidental, or consequential resulting from the use of the Strategy & Roadmap.

Terms

This MASTER SERVICE AGREEMENT commences date (“EFFECTIVE DATE”) by and between Deeproots Partners LLC (“Company”), and and its subsidiaries ("Partner") (“Party” or “Parties” collectively).

Scope of Work. Partner and its subsidiaries hereby engages Company to provide the scope of works contemplated, stated in the above Scope of Work and any further addendums hereafter.
Project. Company will begin services outlined in the SOW and will continue said services until the project is completed as defined by the SOW.
Payment. Partner agrees to pay for the services outlined in the SOW.
Payment Period. Partner agrees to pay Company $500.00 upon receipt of invoice after Effective Date to engage Company to Commence SOW.

CONFIDENTIALITY
Confidentiality. Both Company and Partner will ensure that all persons, including any employees or contractors of each of the Parties, coming into possession of confidential information supplied by or relating to each of the Parties or the business or plans of its actual or potential customers of each Party will not at any time disclose such information to any third party or use such information except for the sole benefit of each Party as contemplated under the terms of this Agreement.

MISCELLANEOUS
Representation and Warranties. Each Party represents, warrants and covenants that (a) this Agreement constitutes its legal, valid and binding obligation, enforceable against it in accordance with its terms; (b) the execution, delivery and performance of this Agreement has been authorized by all necessary corporate or limited liability company action and will not violate any agreement, order, constituent document, law or regulation to which it is bound or subject; and (c) it will perform its obligations hereunder at all times in accordance with all applicable laws, rules and regulations.
Legality. Both Parties agree and understand that the services of this Agreement do not call for either party to perform any acts that are illegal, either under Federal or California law. The Parties further agree to waive the defense of illegality in any action brought to enforce this Agreement.
Mutual Indemnification. Due to the nature of this Agreement and the connection that it has to the business that Partner is engaged in, both Parties understand that a situation may arise where Company or Partner may be involved in governmental or third-party actions or litigation due to the underlying conditions imposed by this Agreement. In the event that Company or Partner does become involved in a legal dispute or matter due to or arising out of operation of, or questions of the legality of Partner’s business, it is understood and agreed that Partner and Company shall hold one another, and their officers, directors, employees, members, shareholders, agents, successors and permitted assigns (each, an “Indemnified Person”), harmless from and against any and all third party demands, claims, causes of action, losses, damages, liabilities, costs and expenses (including, without limitation, reasonable attorneys' fees and expenses) asserted against, imposed upon, or incurred by any Indemnified Person.
Limitation of Liability. In the event Company’s equipment malfunctions or Company’s personnel are negligent, and the malfunction or negligence is the sole and direct cause of inadequate services that do not conform to the terms of the Agreement, Company shall have the opportunity to conform the inadequate services to the requirements of the Agreement prior to the pursuit of monetary damages. In the event that Company is unable to conform to any inadequate services, liability shall be limited to general money damages in the amount of $500 (Strategy & Roadmap fee.) This limitation also shall be the extent of Company’s liability in the event of any alleged defaults by Company under this Agreement, including alleged acts of negligence or breach of contract and regardless of the form in which any legal or equitable action may be brought against Company, and the foregoing shall constitute Partner’s exclusive remedy. Under no circumstances shall Company be liable for any loss of profits or for special, consequential, or exemplary damages, even if Company has been advised of the possibility of these damages.
Necessary Licenses. Partner agrees that it has obtained all necessary licenses, whether available on a state or local level, to engage in their business.
Independent Contractors. Company shall operate as an independent contractor in performing its obligations hereunder and shall have exclusive control of the manner and means of performing its obligations. Nothing in this Agreement shall be construed as making either Party the agent of the other Party, as granting to the other Party the right to enter into any contract on behalf of the other Party or as establishing an association, franchise, joint venture or partnership between the Parties.
Own Costs and Expenses. Except as otherwise provided herein, each Party shall be solely responsible for its own costs and expenses incurred in performing its obligations hereunder.
Entire Agreement. This Agreement and the Attachments attached hereto constitutes the entire agreement of the Parties with respect to the subject matter hereof, superseding all prior or contemporaneous agreements, and may only be amended by a written document signed by both Parties.
Assignment. Neither this Agreement nor the rights and obligations hereunder may be assigned by either Party, whether by agreement or operation of law, without the prior written consent of the other Party.
Governing Law; Jurisdiction; Venue. This Agreement shall be governed by the laws of California, without regard to its conflicts of law principles. Further, each of the Parties agrees that the Central District of Los Angeles County shall be the sole venue for any litigation arising out of this Agreement.
Arbitration. Any and all controversies, claims or disputes arising out of or related to this Agreement or the interpretation, performance or breach hereof, shall be submitted to final and binding arbitration to be initiated and conducted at the Los Angeles office of JAMS (“JAMS”) by a single neutral arbitrator applying California law and subject to the provisions of this Agreement. In the event of any action or proceeding arising hereunder, the prevailing party shall be entitled to its outside attorneys’ fees and costs associated with arbitration.
Construction; Binding Effect. This Agreement shall be interpreted without regard to rules of construction requiring that it be interpreted against the Party causing it to be drafted and shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns.
Waiver. The failure of either Party to insist upon strict performance of a provision or exercise any right hereunder shall not be construed as a waiver of such Party's right to rely on such provision or assert any such right in that or any other instance.
Notices. All notices shall be considered constructively received when sent to the emails of record for Partner and/or Company listed in the signature block below on the first business day following the date notice was notice.
Survival and Severability. In the event that any portion of this Agreement is deemed illegal or unenforceable, it shall be severed from the Agreement and all other requirements hereunder shall remain in full force and effect.
Counterparts; Facsimiles; Headings. This Agreement may be executed in counterparts, both of which shall be deemed one and the same instrument. A facsimile transmission of this Agreement bearing a Party's signature shall be legal and binding on such Party. The headings contained in this Agreement are for convenience only and shall have no operative effect.
Modification. Modification(s) to this Contract must be made by addendum (Addendum”). To be valid and binding, said Addendum must be made in a writing executed by both parties and incorporated by reference to the original agreement.
Intellectual Property and Ownership of Materials. Company shall maintain the full and complete ownership interest over any and all property created by Company, whether personal or intellectual, including, but not limited to, videos, branding, copyrights, licenses, or trademarks contemplated under the terms of this Agreement. Partner represents that it possesses all rights to the content that it provides or gives access to Company for the Services, and retains full and complete ownership interest of any and all property created or supplied by Partner. Company disclaims all rights to the content to which Services are applied except for the right to receive payment pursuant to this Agreement. Each party retains all other intellectual property rights not expressly granted in this Agreement. Ownership of the final production materials, and the final production materials only, shall be deemed to be transferred to the Partner after payment has been made.
Warranty. Both Parties represent and warrant that they have the full right and authority to enter into this Agreement without obtaining consents or approvals. The laws of the State of California govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties.

Intellectual Property and Ownership of Materials. Company shall maintain the full and complete ownership interest over any and all property created by Company, whether personal or intellectual, including, but not limited to, videos, branding, copyrights, licenses, or trademarks contemplated under the terms of this Agreement. Partner represents that it possesses all rights to the content that it provides or gives access to Company for the Services, and retains full and complete ownership interest of any and all property created or supplied by Partner. Company disclaims all rights to the content to which Services are applied except for the right to receive payment pursuant to this Agreement. Each party retains all other intellectual property rights not expressly granted in this Agreement. Ownership of the final production materials, and the final production materials only, shall be deemed to be transferred to the Partner after payment has been made.
Warranty. Both Parties represent and warrant that they have the full right and authority to enter into this Agreement without obtaining consents or approvals. The laws of the State of California govern the validity of this Agreement, the construction of its terms and the interpretation of the rights and duties of the parties.
